1.About us and these Terms
This website, www.uxdr.org (the "Website"), is operated by eCurrencyX Ltd. ("eCurrencyX", the "Company", "we", "us", "our"), a company incorporated in Jersey with registered number 166552 and registered office at 2nd Floor, Gaspé House, 66-72 Esplanade, St. Helier, Jersey, JE1 1GH. The Website and any related services we provide are together the "Services".
We are registered with the Jersey Financial Services Commission under Article 2 of the Control of Borrowing (Jersey) Order 1958. Registration or authorisation does not mean the JFSC endorses our products, and it does not protect you in the way a bank deposit scheme would.
These Terms govern your access to and use of the Website. By accessing or using it, you agree to these Terms. If you do not agree, please do not use the Website.
These Terms apply to use of the Website only. Any purchase, issuance, redemption or holding of our stablecoin, and any account or wallet services, are governed by separate terms ("Participant Agreement"). If there is a conflict, the Participant Agreement Terms prevail for those services.
Our tokenization partner. We use Brale.xyz as our tokenization partner. By accepting our Terms and Conditions you are also accepting Brale’s Terms of Service, included here by reference: Terms of Service | Brale.
If there is any conflict between these Terms and Brale’s Terms of Service, the Participant Agreement Terms prevails. Brale’s Terms of Service may be updated by Brale from time to time, and you should review the current version before using any service that relies on Brale.
2.Information only: not advice or an offer
The Website is provided for general information only. Nothing on it is financial, investment, legal, tax or other professional advice, a recommendation, or a personal recommendation to buy, sell or hold any digital asset.
Nothing on the Website is an offer, invitation or solicitation to buy, sell or subscribe for any product or service in any jurisdiction where doing so would be unlawful, or to anyone to whom it would be unlawful to make it.
Digital assets, including stablecoins, carry risk. A stablecoin is designed to maintain a stable value but may lose value or become illiquid, and holders may not be able to redeem it at par. Digital assets are not covered by any deposit guarantee or compensation scheme. You should obtain independent professional advice before making any decision.
Any information about reserves, backing assets, attestations or redemption is a summary only. The Product Terms and our published reserve disclosures are the authoritative source.
3.Eligibility and restricted jurisdictions
You may use the Website only if you are at least 18 and have legal capacity to enter into these Terms.
The Website is not directed at persons in any jurisdiction where its content or our services would breach local law or require us to register or be licensed there. You are responsible for ensuring your use complies with the laws that apply to you.
You must not use the Website if you are the subject of sanctions or are acting for someone who is.
4.Acceptable use
You agree not to:
- use the Website for any unlawful purpose, including money laundering, terrorist financing, fraud, sanctions evasion or market abuse;
- attempt to gain unauthorised access to the Website, our systems, or other users' accounts or data;
- introduce malware, or interfere with the Website's operation, security or integrity (including denial-of-service attacks);
- use bots, scrapers or automated tools to extract data without our written consent;
- reverse engineer, decompile or copy any part of the Website, except as permitted by law;
- impersonate us or any person, or misrepresent your affiliation with us;
- use the Website in a way that could damage our reputation or infringe others' rights.
5.Accounts and security
If the Website offers an account, portal or login, you must provide accurate information and keep it up to date.
You are responsible for keeping your login credentials, devices, private keys and wallet details secure. Tell us immediately if you suspect unauthorised access. We will never ask for your private keys or seed phrase.
We may suspend or restrict access where we reasonably suspect a security, legal, sanctions or financial crime concern, or a breach of these Terms.
6.Intellectual property
The Website and its content, including text, graphics, logos, software, designs and trade marks, are owned by or licensed to us and protected by intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable licence to view and use the Website for your personal or internal business purposes. You may not otherwise copy, reproduce, modify, distribute or commercially exploit any content without our written permission.
All trade marks, including UXDR, remain our property or that of our licensors.
7.Third-party content and links
The Website may link to third-party websites, blockchain explorers, wallet providers, exchanges or data sources. We do not control or endorse them and are not responsible for their content, availability or practices.
Information on the Website sourced from third parties (including market prices, blockchain data and reserve attestations) is provided in good faith but we do not guarantee its accuracy or timeliness.
The Services may contain links to or from third-party websites. eCurrencyX has no control over the content or privacy policies of third-party websites that you may link to from the Services or their advertisers. If you visit a linked website, be aware that the third party operating any such website may have access to any information you submit via that website. eCurrencyX is not responsible for any third party’s failure to establish or abide by its or our Privacy Policy. Check the privacy policy for each website that you visit prior to submitting any personal information. Links to third-party websites do not imply endorsement of the websites by eCurrencyX.
You understand that by using the Services, you may encounter data, information, applications, materials, and other content from third parties (collectively, “Third-Party Materials”), and data, information, applications, materials and other content from eCurrencyX, that may contain errors, be offensive, indecent, or objectionable. You use the Services, and rely upon any Third-Party Materials, at your sole risk. eCurrencyX will not have any liability to you for any Third-Party Materials that may be found to be offensive, indecent, or that are inaccurate, incomplete, untimely, invalid, illegal, indecent, of poor quality, or otherwise objectionable.
Part of the Services includes enabling certain third parties to form communities (each, a “Community”), and to make these Communities available to others on the Services. In order to access any Community, you must first agree to that Community’s terms and conditions and privacy notice (“Community Terms”). By participating in any such Community or by accepting the Community Terms, you thereby signify that you have read and agree to such Community Terms.
8.Availability and changes
We aim to keep the Website available but do not guarantee uninterrupted or error-free access. We may suspend, withdraw or change any part of it at any time, including for maintenance or security.
Blockchain networks and third-party infrastructure are outside our control, and delays, forks, congestion or failures on them are not our responsibility.
9.Disclaimers
To the fullest extent permitted by law, the Website and its content are provided "as is" and "as available", without warranties of any kind, express or implied, including as to accuracy, completeness, fitness for purpose or non-infringement.
We do not warrant that the Website will be free from viruses or other harmful components.
10.Limitation of liability
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Jersey law, including liability for fraud or fraudulent misrepresentation, or for death or personal injury caused by our negligence.
Subject to clause 10.1, we are not liable for any loss arising from your use of, or inability to use, the Website, or reliance on its content, including loss of profits, revenue, data, goodwill or digital assets, or any indirect or consequential loss.
Subject to clause 10.1, our total aggregate liability to you arising from your use of the Website is limited to US$100.
If you are a consumer, nothing in these Terms affects your statutory rights.
11.Indemnity
If you are a business user, you agree to indemnify us against losses, claims and costs (including reasonable legal fees) arising from your breach of these Terms or misuse of the Website.
12.Privacy, cookies and electronic communications
We process personal data in accordance with our Privacy Policy and the Data Protection (Jersey) Law 2018 and, where applicable, the UK or EU GDPR. Please read it to understand how we collect and use your data.
We use cookies and similar technologies as described in our Cookie Policy. By using the Website you consent to cookies as set out there, where consent is required.
By using the Services, you consent to receiving electronic communications from us regarding your use of the Services, or for operational and informational purposes. You also agree that by using the Services, you affirmatively consent to eCurrencyX using electronic records or your digital signature to satisfy any statute, regulation, or rule of law requiring that such information be provided in writing and that you have not withdrawn such consent.
13.Regulatory and compliance matters
We are subject to anti-money laundering, counter-terrorist financing and sanctions obligations. We may be required to monitor activity, request information, and report to the relevant authorities, and we may do so without notifying you where the law permits.
Nothing on the Website should be taken as a statement that we are authorised or regulated in any jurisdiction other than as expressly stated in clause 1.2.
14.Suspension and termination
We may suspend or terminate your access to the Website at any time, with or without notice, if we reasonably believe you have breached these Terms or that doing so is necessary for legal, regulatory or security reasons. Clauses that by their nature should survive termination will do so.
15.Changes to these Terms
We may update these Terms from time to time. The updated version will be posted on the Website with a revised date, and continued use after that date constitutes acceptance of the changes.
16.General
Entire agreement. These Terms (together with any Participant Agreement, Privacy Policy and Cookie Policy) form the entire agreement between us relating to the Website.
Severability. If any provision is found invalid or unenforceable, the rest remains in effect.
No waiver. Failure to enforce a right is not a waiver of it.
Assignment. You may not assign your rights under these Terms without our consent. We may assign ours to a group company or successor.
Third-party rights. No person other than you and us has any right to enforce these Terms.
Force majeure. We are not liable for delay or failure caused by events beyond our reasonable control, including network failures, cyber-attacks, regulatory action or market disruption.
17.Governing law and jurisdiction
These Terms, and any dispute or claim arising out of or in connection with them or the Website (including non-contractual disputes), are governed by the laws of Jersey. Subject to clause 18, the courts of Jersey have exclusive jurisdiction.
18.Dispute resolution and arbitration
YOU AGREE THAT DISPUTES ARISING UNDER THESE TERMS WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION AND UNLESS YOU OPT OUT, THE EXCLUSIVE USE OF FINAL AND BINDING ARBITRATION ON AN INDIVIDUAL BASIS ONLY TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS, COLLECTIVE, OR REPRESENTATIVE ACTIONS OR PROCEEDINGS.
ADDITIONALLY, YOU AND ECURRENCYX ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN ANY CLASS ACTION OR REPRESENTATIVE PROCEEDING; YOU AND ECURRENCYX AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
Further, unless both you and eCurrencyX agree otherwise, the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of a representative or class proceeding.
The seat (legal place) of the arbitration shall be St Helier, Jersey. The arbitration shall be administered under the LCIA Arbitration Rules in force when the arbitration is commenced (the "Rules"), which are incorporated into this clause by reference. The tribunal shall consist of a sole arbitrator appointed in accordance with the Rules. The language of the arbitration shall be English. The law governing this arbitration agreement, and the arbitration and any proceedings in support of it, shall be the law of Jersey, including the Arbitration (Jersey) Law 1998. The tribunal shall decide the substance of the Dispute in accordance with the law of Jersey, as set out in clause 17.
Opt-out: You may opt out of this clause 18 by giving us written notice at info@uxdr.org within [30] days of first accepting these Terms, stating your name and the email address associated with your use of the Services and that you wish to opt out. If you opt out, clause 17 applies to disputes between us.
